Proposal to tax angel investors in Budget 2012-13: Burden to young start-ups while Angel Investors Get Tax Concessions in US and UK

The Union Budget 2012 presented by the UPA (central) government has disappointed not just corporate India but also young start-ups. The Finance Minister proposed that the government will treat all individual investments which include genuine angel money in a company as income from other source.

The recent clause in India?s 2012 Budget proposes taxing Indian start-ups 30% of the amount invested by Angel investors by terming the investment as income.

The Memorandum of the Finance Bill 2012 states

?It is proposed to insert a new clause in section 56(2). The new clause will apply where a company, not being a company in which the public are substantially interested, receives, in any previous year, from any person being a resident, any consideration for issue of shares. In such a case if the consideration received for issue of shares exceeds the face value of such shares, the aggregate consideration received for such shares as exceeds the fair market value of the shares shall be chargeable to income tax under the head ?Income from other sources. However, this provision shall not apply where the consideration for issue of shares is received by a venture capital undertaking from a venture capital company or a venture capital fund.?

It is also proposed to provide the company an opportunity to substantiate its claim regarding the fair market value. Accordingly, it is proposed that the fair market value of the shares shall be the higher of the value -

(i) as may be determined in accordance with the method as may be prescribed; or

(ii) as may be substantiated by the company to the satisfaction of the Assessing Officer, based on the value of its assets, including intangible assets, being goodwill, know-how, patents, copyrights, trademarks, licences, franchises or any other business or commercial rights of similar nature.

This amendment will take effect from 1st April, 2013 and will, accordingly, apply in relation to the assessment year 2013-14 and subsequent assessment years.

Generally, angel investment or investments from individuals such as friends and families are at a very early stage of the company where VC funds usually do not come in. Only after the company sees a significant traction or the proof of concept is established, an early stage VC fund will invest in a startup. In short, the angel investment from ?persons? comes in at the earliest stage. As it is well known, a startup generally does not get institutional money at a very early stage, and that gap is filled by high net worth individuals and successful entrepreneurs who provide the finances to startups as their personal investments.

As a standard practice, startup gets funding from an angel investor in exchange for equity. The valuation of the startup is usually based on an idea, with very little else to support it. Effectively, a new startup with an idea along with a patent, and perhaps an initial prototype may get a Rs. 10 lakh ? Rs. 20 lakh funding from an angel investor for may be 10% ? 20% of the company.

To present the concerns of the industry, Saurabh Srivastava, Chairman Emeritus, TiE Delhi-NCR, recently met with the Finance Ministry to apprise them of such concerns. According to him, the discussions were cordial and they explained the rationale of the provisions which have been proposed to curb transactions in unaccounted money. He shared with them how critical angel investments were for the country and how these measures would have an unintended but extremely adverse impact. He further discussed various options that would keep their intent intact without coming in way of angel investing. One of the suggestions that seemed to find more favour was to exempt investments under Rs. 5 crores individually and Rs. 10 crores per deal. If not be withdrawn, but they would try to do what was possible to ensure that genuine angel investments were not impacted.

While the present state of affairs in India is becoming startup/angel-unfriendly, the federal government in the US, including several US States, and UK are providing tax breaks to angel investors. Additionally, angel investors in Canada are pressing for a new regulation to provide tax relief similar to UK.

Based on a research report, as per angel investor credit programs in US, at least 21 states offer income and business tax credits to angel investors for investing in newly-formed, technology-related businesses. These investors tend to be wealthy individuals looking for opportunities to develop and establish new businesses in areas that interest them. Generally, the credits range from 15% of the investment in Colorado to 100% in Hawaii. Some criteria are used to qualify investors (for example, high networth individuals in Kansas) and targeted investment in certain sectors (for example nanotechnology in Winconsin). As a matter of fact, eleven of the 21 states enacted angel investor tax credits since 2005 (Arizona, 2005; Arkansas, 2007; Colorado, 2010; Connecticut, 2010; Kansas, 2005; Louisiana, 2005; Maryland, 2005; Minnesota, 2010; New Mexico, 2007; Rhode Island, 2006; and Wisconsin, 2005). Most of the states authorized the credits for a specified time. For example, Connecticut?s credits expire in FY 2015. Moreover, none of the states repealed the credits, but however, two states allowed them to expire, Hawaii, in 2010, and Louisiana in 2009. Furthermore, as per the provisions of the Small Business Jobs Act of 2010, it provides a 100% exemption for gains made in qualified business stock.

Tax breaks in UK are provided by the UK government, which has made it a priority to get funds into small fledgling businesses and it offers a 50% rebate ? even if the individual making the investment isn?t paying 50% income tax. Also,, if you make a capital gain in the tax year 2012 / 13 and invest that money in a startup, then you?ll also get the 28% capital gains relief ? a massive 78% relief in total. This mainly applies to investments made after April 6, 2012.

In Canada, the National Angel Capital Organization wants the Government of Canada and provincial governments to ?adopt an Innovation and Productivity Tax Credit (IPTC) similar to the UK?s successful ten-year-old Enterprise Investment Scheme and B.C.?s Small Business Venture Capital Program.?

?

At present, most of the angel investments in India are in the technology sector and the angel investors don?t get any tax relief, while the investments are typically in the range of Rs. 30 lakhs to Rs. 3 crores.

?

It would be heartening if finance ministry makes a recommendation to Union Government to provide tax relief to angel investors instead of taxing startups on angel investments.

Leadership is important for any group activity ? business, sports, volunteering, etc. As I?ve been watching the March Madness basketball games, I can?t help but notice the apparent team leaders on the court. These are the players that the team relies on, not only for their basketball skills, but for their team leadership. This got me thinking about what makes a good leader in the construction industry. After all, a good construction business manager acts as a leader for the entire company. Over the years, I?ve learned quite a bit about what motivates teams and keeps them productive, so I hope these leadership tips help your construction business.

Set High Expectations

The most successful leaders I know, whether they work in construction, software, or some other industry, are always pushing the envelope. These men and women set the bar high for their teams, but not so high that the end goal is not feasible. Attainable expectations motivate their teams to not only work hard, but to learn new skills along the way. Ultimately, these ambitious goals are what make their companies successful.

Good Leaders Pay Attention

Behind every good construction business leader is a hard working team of project managers, construction workers, and office staff. Without these staff members, a construction company would not function, so it?s the job of the leader to notice the hard work of these employees. It?s also the job of the leader to notice those employees who need the most help and give them the tools and instruction they need to succeed. I find that when employees are achieving their goals, the company and its leaders achieve theirs.

Praise & Critique

Success is something to celebrate ? after all, wins for your team are wins for the entire company. Acknowledging personal achievements is also important to the morale of your team. I like to follow the saying ?Praise in public, criticize in private.? Like any leader, as a construction business manager, you will inevitably have to critique an employee. But no matter the offense, discipline should not be done in front of the employee?s peers. Nothing good comes from public humiliation.

'Survivor: One World' Contestant Accused Of 'Poop Pants'

Sushi chef Jonas takes a hike, while elder statesman Tarzan continues to go off the deep end on this week's episode.

Tarzan is not only king of the jungle — he's also king of the "poop pants." He certainly wouldn't own that title, but his companions on newly merged tribe Tikiano know better, having seen the 64-year-old plastic surgeon's dirty underwear up close, personal and in their precious pot of boiling water. Nasty.

But the eccentric Tarzan's filthy habits weren't filthy enough to buy him a one-way ticket out of "Survivor: One World" this week. Instead, it was sushi chef Jonas who became the latest contestant voted out of the game, not because of any personal flaws — indeed, it was widely agreed upon that his skills as a cook were a great asset to the tribe — but because he was the biggest threat to win the game outside of the dominant alliance. Ultimately, Jonas' strengths became his fatal weakness.

Once again, we speak with two-time "Survivor" contestant Rob Cesternino about this week's episode, covering Tarzan's so-called "poop pants," Jonas' untimely demise and life after Colton Cumbie.

MTV: I really liked Jonas from the very beginning of the season; I thought he had potential to go deep into the game. I'm not sure now if Jonas was a good player with bad luck, or maybe he just wasn't a good player to begin with.

Rob Cesternino: Can't it be both? I mean, through most of the season, Jonas was just playing second fiddle to Colton. He said it himself: "I don't mind being Colton's bitch." Unfortunately, when Colton was out of the picture, it looked like Jonas was going to emerge and make a run of this thing. But there's not much he could have done. He was down in the numbers. He couldn't mount an effective strategy here with that being the case.

MTV: At this point in the merge, there are 12 people on the tribe. It's as good a time as any to get a big threat like Jonas off the field. But it also strikes me as a time where you can cut some of the dead weight, like Tarzan, from the tribe. Do you think the right choice was made: getting rid of the likable guy — who's an excellent chef to boot — over the annoying crazy person?

Cesternino: Absolutely. You want to get rid of the capable person because Jonas can win the game. Ideally, you want to grab Tarzan and do whatever you can to get him to the end of the game with you, just like a few seasons ago [on "Survivor: Redemption Island"] when Boston Rob took Phillip to the end with him. Jonas had a good chance to win, of everybody currently playing the game. I know it stinks for Jonas that he gets voted out, because now it looks like he's not as good at the game as some of the people who are still there, but that's not the case. You get rid of the people who are the threats to win, whenever you can, and you keep around the dead weight.

MTV: Tarzan really is one of those perfect final three candidates: He has zero chance of winning, at least in my eyes. But the alliance he's in is so thin at this point — if you can even call it an alliance — and the majority group in this tribe doesn't seem to have much interest in pulling him along for the ride. Of all the people playing the game, who do you think is the likeliest person to wake up and smell the coffee and decide to bring Tarzan to the end?

Cesternino: That person for me is Troyzan. He's with these women, and at some point, the lightbulb should go off: "I'm voting with these Salani women right now, but at some point, it's going to come down to them trying to get rid of me and Jay." I think Troyzan might be the guy who says, "Oh my god, Tarzan is getting on everybody's nerves, he's putting dirty underwear in everybody's water. This is the guy I need to go to the finals with."

MTV: It was a big week for Troyzan. He found an immunity idol, he won an immunity idol ...

Cesternino: Not only did he win individual immunity and find an idol, he also went on a reward! This is his island! He didn't get any of his underwear in the same pot of water with Tarzan, either. It was all on the up and up for Troyzan this week. [Laughs] I've liked him for a while on this show. I think he's starting to emerge as a guy who could go the distance. But it's really important for him to not just go to the finals with the status quo. He needs to make a move and switch things up. I did some math on this last night, and long story short, I think there are five women who are going to vote together until the end — the younger girls with the alliance from the beginning — and there are six people left who are not in that alliance, the five men plus Christina. With 11 people left in the game, I think this upcoming episode is the one where Troyzan needs to make a move.

MTV: It's interesting. The Salani alliance seemed solid for a while, but already in this episode, you see cracks beginning to form. Do you think these new alliances are going to stick, or do you think we'll be back to men versus women before too long?

Cesternino: You know, I kind of feel they're going to stay tight for a while. I still kind of think Salani is going to go after Tarzan, and go after Leif, and then start to turn and take out a Michael. I think that's going to be what happens. But I'm hoping that's not what happens.

MTV: Yeah, that becomes the Kim and Chelsea show pretty quickly.

Cesternino: Yeah, it does. I'm hoping for whatever can happen to keep my man Tarzan in the game. I mean, what a night for Tarzan! Really, the whole last 20 minutes was the Tarzan show. I don't want to hear that this is strategy that he's doing, because he's just so perfect. What a great job by casting, finding this guy. I'm loving Tarzan. I'm thinking of plastic-surgery operations to get so that I can meet Tarzan in person.

MTV: Oh, man. [Laughs] I don't know that you want to trust yourself in that guy's hands, no matter how many degrees and licenses he has ...

Cesternino: Well, he's apparently an expert in microbes. [Laughs] I'm not concerned. I'll get on the operating table and let Tarzan open me up anytime. He has entertained me so much this season.

MTV: This was week one post-Colton. How do you feel about "Survivor: One World" without Colton?

Cesternino: I wasn't really missing Colton too much last night. There was so much going on with Jonas and Tarzan fighting, with Tarzan's "poop-gate," so it wasn't too bad of a first show without Colton. I think if we start getting rid of the big personalities like Tarzan, that's when you'll miss Colton as a viewer.

LOS ANGELES (AP) ? Long before Jeff Bezos became an Internet mogul, he was enthralled by the mysteries of space.

As a 5-year-old, Bezos, along with half a billion people around the world, watched in awe as American astronaut Neil Armstrong took the first step on the moon in 1969.

More than 40 years later, the billionaire founder of Amazon.com will attempt to haul from the dark depths of the Atlantic at least one of the mammoth rocket engines that helped boost the Apollo 11 astronauts into history.

Using high-tech sonar, an expedition spearheaded by Bezos has discovered what he claimed were discarded engines from the mission lurking 14,000 feet deep.

In an online announcement Wednesday, Bezos said he is drawing up plans to recover the sunken engines, part of the mighty Saturn V rocket that launched Armstrong, Buzz Aldrin and Michael Collins on their moon mission.

It was not immediately clear when Bezos' team spotted the Apollo engines. Bezos offered few details about the discovery and did not say how he knew the engines were from Apollo 11. The cost of the recovery was not disclosed, but Bezos said it will be done with private funds.

Amazon spokesman Drew Herdener said Bezos was not available for comment.

The five engines, which produced nearly 7.7 million pounds of thrust, dropped into the sea as planned minutes after liftoff in 1969. Four days later, Armstrong and Aldrin walked on the moon.

"We don't know yet what condition these engines might be in," he wrote. "They hit the ocean at high velocity and have been in salt water for more than 40 years. On the other hand, they're made of tough stuff, so we'll see."

Bezos acknowledged the engines were the property of NASA, but said he hoped they will be displayed in museums.

NASA expressed excitement about the find. The space agency said it has not been formally contacted by Bezos and waited for more information.

"There has always been great interest in artifacts from the early days of space exploration and his announcement only adds to the enthusiasm of those interested in NASA's history," NASA spokesman Bob Jacobs said in a statement.

No timetable has been set for the recovery. When it happens, it'll undoubtedly take longer to hoist the 19-foot engines off the sea floor than the 2 1/2 minutes it took for them to power off the launch pad.

The sea floor is littered with spent rockets and flight parts from missions dating back to the dawn of the Space Age and it's unknown what survived decades later after crashing into the ocean.

In 2009, a private company salvaged Gus Grissom's Mercury capsule that accidentally sank in the Atlantic after splashdown in 1961. It was restored and displayed at the Kansas Cosmosphere and Space Center.

Bezos' planned Apollo recovery is the latest deep-sea adventure by the wealthy. "Avatar" director James Cameron over the weekend rode a mini-sub to Earth's deepest spot in the western Pacific Ocean, seven miles below the surface, which he described as an alien world. Sir Richard Branson plans a similar dive to the deepest part of the Atlantic, the Puerto Rican trench, later this year.

QAA, Lebanon (AP) ? Syria has accepted a peace plan by U.N. envoy Kofi Annan that includes a cease-fire by the Syrian government, but the bloodshed persisted Tuesday as intense clashes between government troops and rebels spilled across the border into Lebanon, officials said.

Syrian troops did not physically cross the border, according to two Lebanese security officials, but bullets whizzed across the frontier into a rural, sparsely populated area around the Lebanese village of Qaa.

"There is no Syrian military presence on the Lebanese side of the border," the military official said.

The U.N. says more than 8,000 people have been killed in Syria's uprising, which began last March with mostly peaceful protests against the regime. But the government swiftly unleashed its military tanks, snipers and machine-guns to break up protests, which many opposition members say drove them to take up arms.

Now, as the conflict spirals toward civil war, there are concerns that the violence could cause a regional conflagration by pulling in neighboring countries.

A diplomatic push to end the crisis has largely failed, but Ahmad Fawzi, a spokesman for Annan, said Tuesday that the Syrian government has accepted the envoy's six-point plan to end the bloodshed. The plan includes a cease-fire and inclusive talks about a political solution.

Syrian opposition members reacted with skepticism, however.

Rami Jarah, who was attending an opposition meeting Tuesday in Turkey, said President Bashar Assad is trying to stall for time.

"The Syrian government is going to depend on propaganda as it has over the past few months ? propaganda of armed terrorists," he said. The government denies that there is a popular uprising in the country, saying the revolt is being driven by terrorists.

Bassma Kodmani, Paris-based member of the opposition Syrian National Council, said she welcomes the regime's acceptance of the plan. But when asked if she believed the regime would honor the plan, she said: "We hope that we can move toward a peace process."

Also Tuesday, Assad visited Baba Amr, a former rebel stronghold in the key city of Homs that became a symbol of the uprising after a monthlong siege by government forces killed hundreds of people ? many of them civilians ? as troops pushed out rebel fighters.

Homs has been one of the cities hardest hit by the government crackdown on the uprising that began last March. Assad's forces overran the rebel-held Baba Amr on March 1 but faced resistance from other districts.

In footage aired on Syrian state TV, Assad pledged that Baba Amr would return "better than it was before." He was greeted by residents who shouted, "We are with you until death!"

Syria's state-run news agency, SANA, reported Assad's visit but gave no further details.

The violent conflict in Syria has posed a serious challenge to Assad, but neither side has shown any sign of giving in. The opposition, riven by differences, has failed to present a united front against Assad, which has added to the chaos.

Syrian opposition leaders were meeting in Istanbul on Tuesday in an attempt to resolve their differences and reassure international backers who are frustrated by the lack of cohesion.

The meeting comes ahead of an April 1 conference in Istanbul at which Turkey, the United States and their European and Arab partners will discuss ways to further isolate and pressure Assad, as well as measures to support the Syrian opposition. Some reports indicate that the debate among dozens of countries will include whether the opposition Syrian National Council and affiliated groups should be declared as the sole, legitimate representative of the Syrian people.

A Turkish official, speaking on condition of anonymity, said that "if the majority of participants choose that, we'll do that."

APS Receives EPA's Highest Honor: ENERGY ... - AZ Venture Capital

?Arizona Public Service Company?s customer programs continue to receive national recognition. The U.S. Environmental Protection Agency (EPA), for the third straight year, awarded the Arizona utility an ENERGY STAR Sustained Excellence Award for its continued leadership in protecting the environment through energy efficiency.

From the 20,000 participating organizations in the ENERGY STAR program, only a select few are given a Sustained Excellence Award. According to the EPA, to receive the award, organizations must exhibit outstanding leadership in the Agency?s ENERGY STAR program year after year. This year, APS received the award for its ENERGY STAR Homes and Home Performance with ENERGY STAR programs.

The APS ENERGY STAR Homes program encourages builders to construct homes that meet or exceed stringent EPA efficiency standards, resulting in homes that are at least 20 percent more efficient than standard homes. Today, 40 builders across Arizona ? including the 20 largest in APS?s service territory ? are participating in the program.

The Home Performance with ENERGY STAR program helps customers improve the comfort, efficiency and safety of their homes by lowering the cost of a standard home energy audit. Through the program, customers pay $99 instead of the standard $400 cost. In 2011, 4,300 customers had their ductwork and windows evaluated for leaks, home air-conditioning units inspected and insulation measured.

?We take pride in the EPA?s continued recognition of our work to help our customers manage their energy bills,? said Tammy McLeod, APS Vice President and Chief Customer Officer. ?Today, APS looks at energy efficiency as a way to meet the increased electricity needs of customers ? much in the same way we look at building a new solar, natural gas or other power plant.?

APS?s accomplishment was recognized at an awards ceremony in Washington, D.C., on March 15.

?APS and all our ENERGY STAR award winners are helping Americans find cost-effective ways to save energy in everything we do, which is good for our climate, our health and our future,? said EPA Administrator Lisa P. Jackson.

Over the past 20 years, American families and businesses have saved nearly $230 billion on utility bills and prevented greenhouse gas emissions equal to those from more than 350 million vehicles with help from ENERGY STAR.

APS, Arizona?s largest and longest-serving electricity utility, serves more than 1.1 million customers in 11 of the state?s 15 counties. With headquarters in Phoenix, APS is the principal subsidiary of Pinnacle West Capital Corp. (NYSE: PNW).

Company: Cost of hosting Megaupload data untenable

The company hosting the frozen data of millions of users of the file sharing site Megaupload says somebody needs to pay the company's bill or allow it to delete the data.

Carpathia Hosting filed an emergency motion this week in U.S. federal court in Virginia seeking protection from the expense of hosting the data of up to 66 million users. It says it is using more than 1,100 servers to store the 25 million gigabytes of data.

In the motion filed Tuesday, the Virginia-based company said it is paying $9,000 a day to host the data, which works out to more than $500,000 since January. That is when U.S. authorities shut down the Megaupload site and worked with authorities in New Zealand to have its founder, Kim Dotcom, arrested.

U.S. prosecutors are seeking Dotcom's extradition from New Zealand, where he remains under house arrest. They accuse him of racketeering by facilitating millions of illegal downloads of copyrighted material on the site.

Megaupload says many of its users are legitimate and storing important files on the site.

Carpathia said in January it would work with a nonprofit group, the Electronic Frontier Foundation, to try to preserve the data. In its court filing, the company said it had so far refrained from deleting the data given the interest from so many parties in keeping it.

Among those asking for the data to be saved is the Motion Picture Association of America, which wants it kept for possible civil action.

Carpathia said another reason it can't delete the data at the moment is because it would "risk a claim by a party with an interest in the data."

It is asking the court to either have others take possesion of the data, ensure that Carpathia be paid until the completion of the case or let it delete the data after allowing users access for a brief period for selective copying.

Carpathia is seeking a court hearing on the motion next month.

In another development in the case, a judge in New Zealand on Thursday released a ruling that Dotcom be allowed up to 60,000 New Zealand dollars ($49,000) per month from his frozen bank accounts to pay for his living expenses as he prepares his defense. He is also allowed the use of one of his cars, a 2011 Mercedes Benz.

New Zealand authorities in January seized Dotcom's assets, which included 10 million New Zealand dollars ($8.1 million) worth of bonds and a fleet of luxury cars.
